The Statute of the World’s League of Chess Tournaments
The World League of “Chess Tournaments”, hereinafter referred to as “League”, is a not-for-profit organization, based on the membership, established in accordance with the civil code of the Russian Federation, federal statute “about not-for-profit organizations”, other legislative and normative acts of the Russian Federation, to render assistance to it’s members in realizing activity, aimed at goal achievement, predetermined by the present statute.
Article 1. General Provisions
1.1. The World League of “Chess Tournaments”, hereinafter referred to as “League”, is a not-for-profit organization, based on the membership, established in accordance with the civil code of the Russian Federation, federal statute “about not-for-profit organizations”, other legislative and normative acts of the Russian Federation, to render assistance to it’s members in realizing activity, aimed at goal achievement, predetermined by the present statute.
1.2. “League” carries out it’s activity in accordance with the Constitution of the Russian Federation, federal constitutional acts, federal statutes, decrees and arrangements of the President of the Russian Federation, resolutions and instructions of the Government of the Russian Federation, international contracts of the Russian Federation, universally recognized principles and norms of international law, and with the present statute.
1.3. The official name is “World League of Chess Tournaments” (WLCT).
Article 2. The subject of Activities, purposes and objectives.
2.1. The subject of the activities is the coordination of the work realized by the organizers of chess tournaments as well as organization of chess events.
2.2. Purposes and objectives of the “League”:
- The development of chess in the world
- Consolidation of international sport relations
- The organisation of chess tournaments and another events and the perfection of the chess tournaments organization
- Defending and representing the interests of chess tournaments’ organizers.
- Assistance for participants of chess tournaments, including visa support, booking of tickets and hotel reservation.
- Rendering of advisory, informational, marketing and advertising services.
Article 3. Address
The location of the Leugue is: Russia, 119415, Moscow, Vernadskogo Avenue, 61/41 (in case of necessity can be transferred to any other place by simple Board decision, or the general Assembly approval).
Article 4. Duration
The duration of the League is unlimited.
Article 5. Membership
5.1. The entry into the League is voluntary and is accomplished by the observance of requirements, conditions and order, predetermined by the present Statute and internal documents of the League.
5.2. The members of the League can be legal entities (chess and sport clubs, international, national and regional federations, organizations, companies e.t.c.), carrying out chess tournaments, as well as natural persons, who carry out private chess tournaments or represent the interests of corresponding legal entities, chess clubs, chess federations and organizations.
5.3. The board of the League sets up more detailed conditions of membership, the conditions and the amount of membership fees (at prime the founders of the League realize the functions of the board).
5.4. The regulations of the Article 5 apply also to the founders of the League, taking into consideration the peculiarities, caused by the process of League creation. The founder of the League is automatically becoming the member of the League since the day of fulfillment all the requirements (conditions), predetermined by the present statute.
Article 6. Members’ rights and obligations.
6.1. Members of the League have the right to:
- Participate in administrative department of the League
- Participate in tournaments and actions, carried out under the aegis of the League
- Send offers, statements and other petitions concerning the activities to the League’s machinery of government
- Get the information about the League’s activities in order, predetermined by the present Statute and internal documents of the League.
- Voluntarily resign
- Accomplish other rights, predetermined by the legislation of the Russian Federation, the present statute and internal documents of the League.
6.2. Members commit themselves to respect the other members’ freedom of thought and abstain from any social, religious or political discrimination, as well as any acts which may harm the League's interests and aims, stated in Article 2.
Article 7. End of membership
The status of member is lost by:
- decease,
- voluntary resignation which has to be sent in writing to the Board.
- failure to pay in due time the membership fee.
- expulsion due to the member violating Article 6, provided that the expulsion is supported by 2/3 of Board members; the notification must be sent by E-mail to the member.
Article 8. Property of the League
8.1. The League may possess buildings, constructions, housing resources, equipment, implements, funds in rubles and foreign currency, securities, other property, the cost of which has an effect on the independent League’s balance. The League may possess or use lands and other statute-permitted property. The League answers for the obligations by the property, on which a penalty can be imposed by the legislation of the Russian Federation.
8.2. The sources of purchasing the property in monetary or other form are:
- regular and extraordinary takings from the members of the League
- gain from the sales of products and services.
- Voluntary material fees and donations.
- Profit from the League’s property
- Dividends (profits, shares), received by shares, obligations, other securities and deposits.
- Other statute-permitted sources
8.3. Regular and extraordinary membership takings are formed due to their fees. The amount and the date of bringing in membership fees are set up by the board in accordance with the present statute and can be modified at the general assembly of the League.
Article 9. - Accountancy and annual budget
- The treasurer holds a comprehensive accountancy of all revenues and expenses.
- The annual budget is adopted by the Board before the beginning of the fiscal year.
- The fiscal year coincides with the calendar year. It cannot exceed twelve months except for the first fiscal year.
- The accounts must be approved by the general assembly within twelve months after the fiscal year closing.
Article 10. - Agreements
Any contract or agreement passed between the association, on the one hand, and an external administrator or consultant, on the other hand, is submitted to the Board for authorization and presented for information at the next general assembly.
Article 11. - The Board
11.1 . The League is run by a board. The number of the board members is set up by the founders and hereinafter can be changed by the board’s decision, but not more than once in 2 years. The board is elected for 1 year by the general assembly (Article 14.)
The functions of the League include: to initiate debates concerning official tournaments rules, proposals to improve professional players' conditions, to search for sponsors in order to organize tournaments under the aegis of the association, to establish the agenda of the ordinary general assembly, etc.
11.2. The president represents the association in all civil acts. In particular, he or she has authority to go to court on behalf of the association.
The Board elects the president among the members of the Board for 1 year by the majority of votes. The personality can be elected a president several times.
The president of the League can’t simultaneously function as chief executive of the League.
The president organizes the work of board, convenes meetings of the board, where he presides, organizes the taking of minutes during meetings and assemblies, opens general assembly of the members of the League. This list is not exhaustive.
The president of the League is the head of the League and represents the interests of the League without proxy, in areas concerning his/her competence and the competence of the board.
In case of refusal or impossibility of the president to fulfill his duties, the board of the League should elect the new president in a month.
11.3. The Board elects among its members a chief executive and a treasurer (accountant) or hire them.
11.4. The chief executive of the League is appointed by the board after the president’s introduction within a year. The chief executive is the head of the League in areas concerning his/her competence, which is regulated by the board.
The chief executive of the League can be the member of the League.
The chief executive:
- represents the interests of the League without proxy and arranges deals
- gives power of attorney to represent the interests of the League
- issues orders concerning appointments of the staff, there transference and dismissal, gives encouragements and imposes discipline penalties
- realizes other authorities predetermined by normative law acts, the present statute and internal documents of the League, which do not correspond to the competence of the General Assembly and the Board of the League.
The chief executive’s rights and obligations of directing the current activities of the League, the amount of his payment and other conditions of work are determined by the agreement in accordance with the present statute. The agreement between the League and the chief executive is signed by the president on behalf of the League.
The relations between the League and chief executive are determined by labour legislation of the Russian Federation.
The board has the right to decide an issue about prescheduled end of chief executive’s authorities according to the labour legislation of the Russian Federation.
11.5. The accountant is responsible for financial decisions and calculation of expenditures of the League. He/she makes and gets all the payments (under the president’s control). The accountant can’t manage the assets of the League without the League’s permission. He/she regularly takes the stock of al financial operations and gives information at General Assembly.
11.6. In case of generated vacancies the board appoints deputies till next elections.
Article 12. - Board meetings
The Board gets together at least once every six months, when summoned by its president or at the request of at the majority of its members.
Board meetings can be held on the Internet.
Decisions are taken by simple majority of all Board members' votes, except in the cases described in Articles 5 and 8. The president has a casting vote.
Meetings are subject of minutes.
Article 13. – Remuneration of expenses
The members of the Board are entitled to the reimbursement of their expenses on the base of their travel documents.
Article 14. – General Assembly
All members of the League have the right to take part in the General Assembly (GA), who are summoned by press, information bulletin or the internet site of the League. The agenda’s project is announced 3 weeks prior to the upcoming Assembly. Members will have two weeks to ask the Board to include their questions in the agenda. The final agenda should be published one week before the assembly is held.
GA is held every year within twelve months after the closing of the fiscal year
GA can take place on the Internet and all votes can be held on the League’s official site, including the Board election.
Decisions are taken by secret ballot by a simple majority of the voting members.
GA elects every second year the members of a Board. The vote is only valid if 1/2 of all members participate in it.
GA is entitled to make amendments and additions to the Statutes.
The president, assisted by the members of the Board, presides over the Assembly and expounds the situation of the League.
The accountant reports his management and submits the balance sheet to the assembly's approval.
Article 15. - Extraordinary general assembly
Extraordinary general assembly is competent to modify the statutes, decide on dissolution and merger of the League with another organization.
It is summoned by the president as stated in article 14 and also at the request of at least one third of the members, or at the Board's request.
Decisions are taken by secret ballot by a simple majority of the voting members.
Article 16. - Internal rules
The Board can decide to establish internal rules, which will be submitted to the general assembly for approval. They will be mandatory for all the members of the League.
Article 17. - Dissolution
Dissolution is pronounced by the extraordinary general assembly, which appoints a liquidator.
And after the creditors demands have been satisfied, it will go towards the purpose for which it (the League) has been created and or towards charitable purposes.
